As the plan goes, in April of this year a brand new company will emerge, and it will be called Global Payment Systems (GPS). The new company will be owned partially by MasterCard International and NDC (National Data Corporation).
The company will consist of MasterCard's MAPP business, a for-profit company formed by MasterCard about 4 1/2 years ago to handle POS terminals and the major portion of NDC's current Payment Services and Information Business. This NDC segment, by the way, consists of their Bankcard business and Check Guarantee business, which is made up of the former Mercantile Check Systems and Yes Check.
This particular business construction could well place NDC in the position of spinning off this business unit and recapturing its investment in the check ventures and MAPP. We would predict that MasterCard will stay in this deal until then.
